Trade Secrecy and International Transactions ─ Law and Practice

This volume examines US and international trade secret law and practice, discussing how businesses can enhance trade secret protection and enforcement in terms of global commerce. It covers the role of trade secrets in global commerce, the TRIPS Agreement (Agreement on Trade-Related Aspects of Intellectual Property Rights) and its relevance to setting basic standards for countries to protect undisclosed information, and US trade secret law and the Uniform Trade Secrets Act, including the scope of trade secret protection, the requirements for establishing trade secret rights, the legal and policy limitations of protection, the main elements of a claim for trade secret misappropriation, major defenses, and available remedies, with respect to business to business relationships, employment relationships, enforcement mechanisms and litigation, and government-held trade secrets and data exclusivity. The second part applies the general framework and areas discussed under US law to common law, civil law, and mixed-law countries (the UK, India, China, Mexico, Brazil, Canada, and Japan), with information on each country's legal system, aspects of its trade secret law, principles governing trade secrecy in employment and business relationships, the criminal consequences for trade secret misappropriation, and general information on the rules and practice for litigating trade secret disputes.
